| Material Information | Reference to our previous disclosure, dated 30 December 2025, Makhazen’s board of directors met on an urgent basis and approved the following resolutions: 1. Acceptance of the resignation of Tarek Sultan from his position as Chief Executive Officer effective 31st December 2025. 2. Appointment of Ahmad Al-Banna as Chief Executive Officer. Mr. Al-Banna brings 20 years of experience with the company, including deep expertise in industrial real estate development, project management, and government and stakeholder engagement. 3. Following the change in one of the board representatives announced today, the board has re-elected Faisal Al Sultan as Chairman of the board and Khalid Faisal Al Ghais as Vice Chairman. Khaled Al-Ghais brings strong experience in investment, governance, and business building.
